Terms of Service

1. Service Provider

2. Description of Services

SyncAgency provides CRM software specifically designed for creator talent management agencies, including:

• Centralized Telegram and WhatsApp conversation management
• Operator performance tracking and analytics
• Content library and engagement template management
• Integrated payment processing for digital content sales
• Broadcast campaign tools with audience segmentation
• Social media analytics and acquisition tracking (Growth Marketing plan)

3. Account Registration

To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Service.

4. Subscription and Billing

SyncAgency is offered on a subscription basis, billed monthly per creator managed. Pricing is as follows:

• Core Operations: 59€ / creator / month
• Growth Marketing: 89€ / creator / month
• Empire OS: 129€ / creator / month

All plans include a 7-day free trial with no credit card required. Subscriptions renew automatically on a monthly basis unless cancelled. You may cancel at any time from your account settings, effective at the end of the current billing period.

5. Payment Processing

SyncAgency offers an integrated payment processor for digital content sales. A service fee of 20% is applied on the subscriber side (not deducted from the agency's nominal price). By using the payment feature, you agree to our payment processor's terms and to comply with all applicable financial regulations.

SyncAgency does not store credit card data. All card data is handled by our PCI-DSS certified payment partner.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit unlawful, harmful, threatening, abusive, or defamatory content
• Impersonate any person or entity
• Interfere with or disrupt the integrity or performance of the Service
• Attempt unauthorized access to the Service or its related systems

7. Intellectual Property

SyncAgency and its original content, features, and functionality are and will remain the exclusive property of Lucas Provenzano / SyncAgency. The software, trademarks, and associated intellectual property are protected by applicable intellectual property laws.

You retain ownership of all content you upload to the Service (media, templates, conversation data). By uploading content, you grant SyncAgency a limited, non-exclusive license to store and process it solely to provide the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SyncAgency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

SyncAgency's total cumulative liability to you for all claims arising from these Terms shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

11. Termination

Either party may terminate the subscription at any time. Upon termination, your access to the Service will cease at the end of the current billing period. You may export your data before termination. SyncAgency reserves the right to terminate accounts that violate these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with Belgian law. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Belgium, without prejudice to mandatory consumer protection provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify active users of material changes at least 30 days in advance via email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
